One who takes possession of land or other assets in the process of executing a contract believed to be legitimate, even if elements of it are found to be not in accordance with applicable laws. In cases where contracts are not in compliance with legal restrictions, the law may look more favourably on a counterparty to the contract who was not aware of legal deficiencies in the agreement.
