Overhang

A large number of securities that may be released into the market, putting downward pressure on the trading price of the shares. In connexion with a stock offering, underwriters try to minimise the amount of overhang to promote confidence in the price at which the shares are initially offered to the market. Also known as 'Market Overhang.'
